License Agreement

By using DevNexi services and receiving generated code, you agree to the terms of this License.

1.1 Generated Code License

Subject to the terms of this License and payment of applicable fees, DevNexi grants you a perpetual, worldwide, non-exclusive, transferable license to:

• Use: Deploy and operate the generated code in production environments
• Modify: Customize, extend, and adapt the code to your specific needs
• Distribute: Deploy the code across multiple servers, environments, and instances
• Sublicense: Grant rights to end-users of applications built with the generated code
• Commercial Use: Use the code for commercial purposes, including SaaS offerings

1.2 Framework Components

While you own the specific code generated for you, the underlying DevNexi framework, AI models, proprietary algorithms, and templates remain the exclusive property of DevNexi and are not licensed to you.

Licensed Materials include all code, database schemas, configurations, and documentation specifically generated for your project, including:

• Multi-tenant application architecture and scaffolding
• Domain-Driven Design implementations (entities, aggregates, value objects)
• Dashboards, analytics modules, and control panels
• CRUD operations and business logic
• Database schemas, migrations, and data models
• Authentication, authorization, and security implementations
• API endpoints and integrations
• UI components and frontend code
• Configuration files and deployment scripts
• Technical documentation and code comments

3.1 Your Ownership

Upon full payment of fees:

• You own all rights to the specific code generated for your project
• You may register copyrights in the generated applications under your name
• You may patent novel inventions implemented in the generated code
• No attribution to DevNexi is required in the generated code or applications

3.2 DevNexi's Retained Rights

DevNexi retains all rights to:

• The DevNexi framework and code generation engine
• AI models, algorithms, and proprietary techniques
• Reusable templates and architecture patterns
• The DevNexi brand, trademarks, and trade names
• Anonymized usage data and learning improvements

You may NOT:

• Extract, reverse engineer, or recreate the DevNexi framework from generated code
• Use generated code to build competing AI code generation services
• Resell the DevNexi framework or service itself
• Market generated code as "DevNexi-generated" without prior written consent
• Remove or alter any license management or tracking code included in generated systems
• Use generated code templates as a basis for commercial code generation products
• Share framework access credentials or bypass usage restrictions

5.1 Initial Support

DevNexi provides initial support for generated code as specified in your service agreement, typically including:

• Bug fixes in initially generated code (within warranty period)
• Technical assistance with deployment and setup
• Documentation and guidance on code structure

5.2 Extended Support

Extended support, maintenance contracts, and ongoing development partnerships are available separately. Once code is delivered and you begin modifications, you assume responsibility for maintaining your customized version.

6.1 Code Quality Warranty

DevNexi warrants that generated code will:

• Meet the specifications agreed upon in your project requirements
• Be free from material defects for 90 days from delivery
• Follow industry-standard coding practices and security guidelines
• Be compatible with the specified technology stack and versions

6.2 Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED ABOVE, THE LICENSED MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DEVNEXI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE CODE WILL BE ERROR-FREE OR WILL MEET YOUR SPECIFIC BUSINESS NEEDS BEYOND THE AGREED SPECIFICATIONS.

7.1 DevNexi Indemnification

DevNexi will indemnify you against claims that the generated code, as originally delivered, infringes third-party intellectual property rights, provided that:

• You promptly notify us of any such claim
• You give us control of the defense and settlement
• You cooperate reasonably in the defense
• The infringement was not caused by your modifications or specifications

7.2 Your Indemnification

You agree to indemnify DevNexi against claims arising from: (a) your modifications to the generated code, (b) your use of the code in violation of this License, (c) your combination of the code with other software or services, or (d) your business operations and end-user agreements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• DevNexi's total liability under this License shall not exceed the fees you paid for the specific project
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for loss of profits, revenue, data, or business opportunities
• We are not liable for issues arising from your modifications or third-party integrations

Both parties agree to maintain confidentiality of:

• Your business requirements and project specifications
• Generated code and technical implementations
• DevNexi's proprietary framework details and methodologies
• Pricing, partnership terms, and commercial arrangements

This confidentiality obligation survives termination of the agreement.

10.1 Framework Updates

DevNexi continuously improves the framework. Code generated with newer versions may have enhanced features or different patterns. You are not entitled to automatic updates of previously generated code.

10.2 Code Regeneration

If you wish to regenerate your system with updated framework versions, this constitutes a new engagement subject to separate fees and agreements.

Generated code may include or depend on open-source libraries and frameworks. Such components are licensed under their respective open-source licenses (e.g., MIT, Apache 2.0, GPL).

You are responsible for complying with the licenses of any open-source components used in your project. DevNexi will provide information about included open-source dependencies upon request.

DevNexi reserves the right to audit your use of Licensed Materials to ensure compliance with this License. You agree to provide reasonable cooperation and access for such audits upon reasonable notice. Any discovered non-compliance must be remedied within 30 days.

13.1 Perpetual License

Upon full payment, your license to use the generated code is perpetual and cannot be revoked except for material breach.

13.2 Termination for Breach

If you materially breach this License (e.g., unauthorized resale, framework extraction), DevNexi may terminate your license with written notice. Upon termination:

• You must cease using any DevNexi framework components
• Your right to use generated code for existing deployments may continue if fees were paid
• Future code generation services will be unavailable

You agree to comply with all applicable export control laws and regulations. You will not export, re-export, or transfer generated code or technology to prohibited countries or individuals without required government authorizations.

This License shall be governed by and construed in accordance with the laws of the jurisdiction where DevNexi is registered. Any disputes shall be resolved as specified in the DevNexi Terms of Service.

This License, together with your service agreement and the DevNexi Terms of Service, constitutes the entire agreement regarding the Licensed Materials.

DevNexi may update this License for future code generations. Updates do not retroactively affect code already generated under previous license versions.
